1. Agreement to these terms
These Terms of Service (the “Terms”) are an agreement between you and DiCarlo Software Solutions LLC, operator of PagePith (“PagePith,” “we,” “us,” or “our”). By creating an account, accessing the Services, or using an API key, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it, and “you” includes that organization.
You must be at least 18 years old and legally able to enter into this agreement. If you do not agree to these Terms, do not use the Services.
2. Data processing
If PagePith processes personal data on your behalf, the parties may execute the Data Processing Addendum. The DPA and its incorporated transfer terms control over these Terms for that processing. Our current providers are published on the Subprocessor List.
3. The Services
PagePith retrieves content from publicly reachable URLs and returns structured outputs such as Markdown and HTML. The Services may also provide asynchronous retrieval, callbacks, website monitoring, change notifications, caching, API-key management, and integrations such as a hosted Model Context Protocol server.
Features, retrieval methods, limits, and documentation may change as the Services evolve. We may add, modify, suspend, or discontinue a feature, and we will provide reasonable notice when a material change would significantly reduce paid functionality where practicable.
4. Accounts and API keys
You must provide accurate account information and keep it current. You are responsible for activity under your account and for safeguarding passwords, API keys, webhook secrets, and other credentials. Do not embed API keys in public code or share them with unauthorized people. Notify us promptly at support@pagepith.com if you suspect unauthorized use.
We may apply technical limits and rate limits to protect the Services. You may not evade limits by creating multiple accounts, rotating credentials, or using other circumvention techniques.
5. Your requests and content
You retain your rights in URLs, instructions, callback destinations, and other material you submit (“Customer Content”). You grant PagePith a limited, worldwide license to host, copy, process, transmit, and display Customer Content only as needed to operate, secure, support, and improve the Services and to comply with law.
You are responsible for deciding whether you may retrieve and use material from a target website. Your use must comply with applicable laws, contracts, intellectual-property and privacy rights, and restrictions that apply to you or the target content. PagePith does not grant you rights in third-party websites or their content.
6. Acceptable use
You may not use, or help anyone use, the Services to:
- break any law or infringe another person’s rights;
- access content you are not authorized to access or bypass authentication or paywalls;
- collect sensitive personal data, facilitate surveillance, stalking, or harassment, or build unlawful profiles;
- distribute malware, phishing content, spam, or other harmful material;
- attack, probe, overload, disrupt, reverse engineer, or compromise the Services or another system;
- misrepresent the source or ownership of retrieved content;
- resell or provide the Services as a standalone competing scraping service without our written permission; or
- use the Services in a way that creates material legal, security, or operational risk for PagePith or others.
We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect the Services, our providers, or third parties.
7. Fees, credits, and billing
Prices, included credits, overage rates, and billing intervals are shown when you subscribe. One successful scrape generally consumes one credit; failed scrapes are not billed. Some plans stop when included credits are exhausted, while plans identified as supporting overages may continue and incur usage charges.
Paid subscriptions renew automatically until canceled. You can manage or cancel a subscription through the billing portal, with the timing of cancellation shown there. You authorize PagePith and its billing provider to charge applicable subscription fees, metered usage, and taxes. Except where required by law or stated otherwise at checkout, payments are non-refundable and unused credits do not carry over or have cash value.
We may change prices prospectively. Price changes will not apply to a current billing period and will be communicated before taking effect for an existing subscription.
8. Third-party services and content
The Services interact with third-party websites and rely on service providers for hosting, authentication, analytics, billing, error monitoring, email, and content retrieval. We do not control third-party websites, their availability, or the accuracy, legality, or safety of their content. Your use of a third-party service may be governed by its own terms.
9. PagePith intellectual property
PagePith and its licensors own the Services, software, documentation, branding, and related intellectual property, excluding Customer Content and third-party content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your account term. If you provide feedback, you allow us to use it without restriction or compensation.
10. Confidentiality and security
Each party will use reasonable care to protect non-public information disclosed by the other and will use it only for the relationship contemplated by these Terms. This obligation does not cover information that is public through no breach, independently developed, rightfully received from another source, or required to be disclosed by law.
We use reasonable safeguards, but no online service is completely secure. You are responsible for configuring your integrations safely, validating outputs before relying on them, and maintaining backups of information you need.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” PagePith disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, error-free, or produce complete or accurate content.
Retrieved content may be incomplete, outdated, altered by a target site, or subject to third-party rights. You are responsible for reviewing outputs and deciding whether they are suitable for your use.
12. Limitation of liability
To the maximum extent permitted by law, PagePith will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to the Services, even if advised that such damages were possible.
PagePith’s total liability for all claims arising from or related to the Services will not exceed the greater of $100 or the amount you paid PagePith for the Services during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions, so these limits apply only to the extent permitted by law.
13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless PagePith and its personnel from third-party claims, damages, and reasonable costs arising from your Customer Content, your use of retrieved content, your violation of these Terms, or your violation of another person’s rights.
14. Suspension and termination
You may stop using the Services at any time and may cancel paid service through the billing portal. We may suspend or terminate access for material breach, nonpayment, security risk, legal requirement, or conduct likely to harm the Services or others. Where practicable, we will provide notice and an opportunity to cure before termination.
Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, and indemnification.
15. General terms
You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and any additional terms presented for a specific feature are the entire agreement concerning the Services and supersede prior discussions about them.
16. Changes and contact
We may update these Terms. We will post the revised version here and change the “Last updated” date. If a change materially affects your rights, we will provide additional notice where required. Continued use after the effective date means you accept the revised Terms.
